    Presentation of the new act on S.A.s in TIF, at the Stand of the University of Macedonia

    [vc_row][vc_column][vc_column_text] In the Thessaloniki International Fair, and as part of the presentation of the Master in Taxation and Financial Management of Strategic Decisions  of the University of Macedonia, Stavros Koumentakis, Senior Partner of Koumentakis & Associates, made a presentation titled: “Shedding light into the new Act on Société Anonyme”.

    The Master’s Program was presented by the Program’s Executive Director, professor Karagiorgos Theofanis, and was attended by students and alumni of the university.

    The presentation was also attended by the former Rector of the University of Macedonia and former President of the Department of Business Administration, professor Ioannis Chatzidimitriou, and by professors teaching in the program, Dimitrios Soumbeniotis, Iordanis Eleutheriadis, Georgios Drogalas. It was also attended by teachers of the Master’s Program and Executives of the Independent Authority for Public Revenue, Ms. Marina Grigoraki and Mr. Anastasios Partalis and Doctors Alkiviadis Karagiorgos and Ioannis Kroustalis.

    Lastly, the Regional Director of Northern Greece’s Tax Authority, Mr. Nikolaos Turovouzis, and the Head of the Audit Authority of Large Enterprises of the Independent Authority for Public Revenue and teacher in the Master’s Program, Mr. Grigoriow Lazos greeted the audience and speakers.

    The presentation graced with his presence the Minister of Macedonia – Thrace, Mr. Theodoros Karaoglou.

     

    The new act on Société Anonyme

    In his presentation, Stavros Koumentakis, Senior Partner of KOUMENTAKIS & ASSOCIATES, highlighted the multiple business opportunities arising from the changes introduced by the new act on Société Anonyme.

    In Mr. Koumentakis’ words: “The new act 4548/2018 is a significant opportunity to get to know a bit better how our own Société Anonyme works, to better secure its founders, shareholders and the investment, to re-design and minimize operational costs, attract new and maintain our most capable executives, create those conditions that will allow access to cheap capital, utilize modern technology and, lastly, prepare our business for the next day”.

    [vc_row][vc_column][vc_column_text] As part of the series of presentations and seminars held by KOUMENTAKIS & ASSOCIATES, a presentation was given to one of the post graduate programs of the University of Macedonia, addressing the needs and opportunities emerging for companies, from the implementation of the newly introduced provisions of the new Act on Société Anonyms.

    Following an invitation of the director of the postgraduate program Tax and Financial Management of Strategic Decisions”, professor Theofanis Karagiorgou, and before a number of students of the program, Stavros Koumentakis, Senior Partner of the Law Firm, highlighted the multiple business opportunities emerging from the changes introduced by the new Act on Société Anonyms.

    As Mr. Koumentakis put it: “The new Act is a great opportunity to better familiarize with the functions of Société Anonyms, to better safeguard the company’s founders, its shareholders and the investment itself, to start planning from scratch and minimize operational costs, to attract new and keep the most capable executives, to create the right conditions for access to cheap funding, to make good use of modern technology and, finally, to prepare business for the next day”.

    During the presentation the most important pillars of Act 4548/2018 were analyzed, while the options offered were highlighted in the form of a DECALOGUE:

    (1) Fast and inexpensive establishment,
    (2) Attracting and maintaining executives,
    (3) Reduction of expenses,
    (4) Attracting investors,
    (5) Various ways of raising liquidity,
    (6) Managing the minority shareholders,
    (7) Making good use of technology,
    (8) Preparing for the succession,
    (9) Protecting the investment and
    (10) Protecting the natural persons.

    Mr. Koumentakis and the Legal Consultants of KOUMENTAKIS & ASSOCIATES continue to respond, as often as possible, to requests to give relevant presentations and hold relevant seminars all over Greece, as this Act has already started being implemented.     Workshop on the New Law on the SAs At the Money Show 2019

    [vc_row][vc_column][vc_column_text] On Saturday, April 13th, at the Hyatt Hotel, within the framework of the 30th Money Show 2019, a workshop on “Family Businesses in the New Business Environment” was held. The event was co-organized by Capital Markets Experts, the Institute of the Association of Greek Financial Managers (SEODI) and the law firm of KOUMENTAKIS & ASSOCIATES.

    In a packed room, those interested had the opportunity to listen to speeches on three different axes. More specifically, the President of SEODI referred to the role of the Ecumenical Director as part of a family business, Mr. Vasilios Margaris, founder and chief executive of Capital Markets Experts, referred to the necessity of entering a family business on the Stock Exchange, while Mr. Stavros Koumentakis, Senior Partner of KOUMENTAKIS & ASSOCIATES Law Firm briefly presented the new Law on Sociétés Anonymes and referred to its application in family businesses.

    Stavros Koumentakis highlighted the multiple business opportunities that the changes brought by the new Law on Sociétés Anonymes are making and noted that Law 4548/2018, which has already begun to be implemented, offers many benefits that we need to focus on. In the relevant DECALOGUE, Mr. Koumentakis stressed that the new Law on Sociétés Anonymes offers options for:
    (1) Quick and economic start;
    (2) Attracting & retaining executives;
    (3) Cost reduction;
    (4) Attracting investment funds;
    (5) Various ways of raising liquidity;
    (6) For managing small shareholders;
    (7) Exploiting technology;

    As Mr. Koumentakis characteristically mentioned: “The new law is an important opportunity to get to know the operation of our Société Anonyme. With proper guidance and implementation of the new law, we can ensure better protection for founders, shareholders and the investment, redesign on the right bases and reduce operating costs. We can also attract new people and maintain the most capable executives, create the conditions for access to “cheap” funds and use modern technology, and finally, we can better prepare for the next day of our business”.

    In the relevant presentation and video briefing, the most important of the changes were briefly described and a special emphasis was placed on the need to inform entrepreneurs who need to understand the new law and ensure that this knowledge exists among executives and close associates. Lastly, the urgent need for immediate adaptation of the articles of association has been highlighted not only as compliance with the new law but, in particular, to meet the needs of each entrepreneur and each company to adequately meet present and future requirements – particularly those relating to their safe development course.

    It is with great pleasure that we share with you the news that our friend and companion for 25 years, Byron Nicolaides, President of PeopleCert was honored with the award “Excellence of Entrepreneurship 2018” by the Athens University of Economics and Business.

    Mr. Nicolaides was awarded in recognition of his successful business activity, as he managed in the midst of the financial crisis to develop PeopleCert, so that it can now carry out examinations for the certification of professional skills and operate in more than 200 countries worldwide.

    The prize was awarded during the postgraduate graduation ceremony of the Postgraduate Program in Administrative Science and Technology, by Mr. George Lekakos, Associate Professor at the University of Economics and Business, in the presence of prominent academics, including professors George Doukidis, Georgios Xylomenos, Ioannis Nikolaou and Ioannis Mourtos.

     

    Peoplecert: A World Leader in Qualification Certification

    The award was in recognition of Nikolaidis’s efforts to expand the professional qualification testing company in the midst of the Greek crisis and develop it into a company that is active in more than 200 countries today and employs more than 320 people.

    Professor Lekakos, while introducing Mr. Nicolaides, referred to the “other Greece of creation” that excels abroad as well as to the entrepreneurial route of the chairman of PeopleCert: “When the country was in the grip of the economic crisis, Mr. Nicolaides managed to pull his company out of the swirl of Greek economic reality, turning all its dynamics abroad. He has fully internationalized it in 2008, spreading its activity, which is now being shown in more than 200 countries, where millions of tests are conducted in 25 languages. And all this while preserving the company’s capacity in Greece, where today more than 320 people are employed. Mr. Nicolaides from his headquarters in the center of Athens has transformed PeopleCert into a world leader in conducting examinations and certifying human resources qualifications”.

    Mr. Lekakos concluded: “We honor Mr. B. Nicolaides because he is one of the few known cases of entrepreneurs who, in the midst of the crisis of the Greek economy, created in Athens an internationally successful company”.

    The Key Elements Of Success

    Addressing the graduates of the postgraduate program of the Athens University of Economics and Business, Mr. Byron Nicolaides made the mark of business in Greece and abroad, through the experience of his company’s route internationally, with the following statement: “The main component of the success was and remains the teamwork in conjunction with the four principles: Quality, Innovation, Passion and Integrity that govern every action not only of the administration but of all the company’s personnel”.

    PeopleCert’s president urged young scientists, no matter what they do, to remain committed to their goal, not to hesitate to chase their dreams, to have flexibility and adaptability: “The only way to do your job perfectly is to love what you are doing”, Mr. Nicolaides said and underlined: ”Remember the three alpha- first letters of the following words in Greek: Love (in Greek: Agapi), passion for what you do, Confidence (in Greek: Aftopepithisi) , trust in your strengths, your abilities, and Integrity (in Greek Akeraiotita). Integral people are complete people”.

    At the award ceremony, Mr. Nicolaides stressed that “being awarded by an important “lighthouse of knowledge”, such as the University of Economics and Business, is a contribution to highlighting the certification of skills as a factor that adds value to companies”.

    Koumentakis & Associates Law Firm participated in the 1st Hellenic- Serbian Forum for Tourism, organized by the Hellenic-Serbian Chamber of Commerce, Tourism, Industry and Business of Northern Greece and by the Hellenic-Serbian Chamber of Commerce in Vellidio Conference Center.

    In the forum, held on November 9, titled “Greece – Serbia: 12 Months Tourism Destination”, Mr. Petros Tarnatoros, Senior Associate of the Firm, was coordinator in Panel 1, attended by Mrs. Liiljana Alajebogovic, Danijela Mirjanic, Ana Dudukovic, representing the tourist organizations of Belgrade, Savski Venac and Cukarica respectively.

    The Tourism Forum was widely recognized and 97 tourist agencies and agents from Serbia and 135 from Greece participated in it. At the center of the forum were the possibilities and opportunities for increasing the tourist flows between the two countries throughout the year as well as the development of cooperation in different forms of tourism, educational, scientific, religious and athletic.

    The Forum was welcomed by the General Secretary of the Ministry of Tourism, Mrs. Eurydice Kournetas, the General Consel of the Republic of Serbia in Thessaloniki, Mr. Sinisa Pavic, the CEO of TIF Helexpo, Mr. Kyriakos Posrikidis, the representative of the Hellenic-Serbian Chamber of Northern Greece in Serbia, Mr. Milivoje Miletic, the President of the Vojvodina Chamber of Commerce and Industry, Mr. Bosko Vucurevic and the President of the Republika Srpska Chamber of Commerce and Industry , Mr Borko Djuric.

    The General Secretary of the Ministry of Tourism, Mrs. Eurydice Kournetas, announcing the opening of the Forum, referred to the dynamic opening of Greece in recent years in Serbia with the aim of strengthening tourist cooperation. Particularly she said that “Serbia is a dynamic market, as well as a favorite destination for Greeks. In the past two years there has been a double-digit increase in tourist arrivals from Serbia to Greece, which remains the most popular holiday destination for Serbian tourists”.

    In his greeting, the President of the Hellenic-Serbian Chamber of Northern Greece, Mr. Konstantinos Georgakos, said “We need and want Greece to become a destination for 12 months for the Serbs. We need and want Serbian visitors to experience the other beauties of Greece. We also want Greeks to be first in traffic in Serbia”.

    Representatives of tourism organizations in Serbian regions and municipalities presented tourism destinations such as Vojvodina, Novi Sad, Nis, Belgrade and the municipalities of Cukarica and Savski Venac, while the representative of the Hellenic-Serbian Chamber of Northern Greece in Serbia Mr. Milivoje Miletic as well as the President of the Vojvodina Chamber of Commerce and Industry, Mr Bosko Vucurevic, spoke about the bilateral cooperation.

    At the 1st Hellenic Serbian Tourism Forum, apart from Mr. Tarnatoros, who was coordinator of Panel 1, Koumentakis & Associates Law firm was represented by Konstantinos Cornilakis, Partner and Petrini Naidou, Senior Associate.

    [vc_row][vc_column][vc_column_text] The Alliance for Digital Employability (AFDEmp) has recently celebrated the anniversary of the two-year offer to young and unemployed people; KOUMENTAKIS & ASSOCIATES participates in this Alliance by offering Legal Support. To date, more than 200 unemployed graduates have been recruited and are now working as Developers!

    Two Years Of Offer To Young And Unemployed People

    The Alliance for Digital Employability is being implemented with the Vision of reducing unemployment in Greece through the creation of new jobs in the IT sector. The actions of the initiative aim to (a) accelerate the training of candidates in high-quality digital skills, (b) certify the skills they have acquired, and (c) the absorption of the candidates by the labor market.

    Today, through Alliance For Digital Employability (AFDEmp) actions, more than 200 unemployed graduates have been re-qualified. People with a different educational background (from mathematicians and physicians to theologists and nurses) have gained access to IT knowledge that is in high demand and have already been hired as well-paid developers in major Greek companies participating in the program.

    The Alliance for Digital Employability

    AFDEmp is a voluntary initiative of the President of the BoD of the Council of European Professional Informatics Societies (CEPIS), Mr. Byron Nicolaides, of the distinguished academics of the Athens University of Economics and Business, Mr. Giorgos Doukidis, Mr. Diomidis Spinellis, Mrs. Katerina Pramatari, Mr. Panos Louridas, of the President of HePIS, Mr. Nikos Faldamis, of the Director of HePIS, Mrs. Eleni Nicolaides, along with the participation of more than 200 companies and business entities.

    The objective of AFDEmp is to help tackle unemployment while at the same time help also all those who want to change their career through their rapid training in high-quality digital skills. The idea for the initiative was born out of a special study conducted – under the aegis of CEPIS – by the Athens University of Economics and Business, ALBA and HePIS. According to the findings of the study, youth unemployment as well as the gap between supply and demand for technological skills can be addressed through re-training.

     

    “The Private Initiative To Help Tackle Unemployment”

    This was the central message of Mr. Byron Nicolaides, President of the BoD of the Council of European Professional Informatics Societies (CEPIS) and Head of PeopleCert Group, worldwide, who stated, among other things, “A European need, a Greek opportunity took shape thanks to the alliance of the European Informatics, their Greek colleagues, of academics and of the most important Greek companies. It is now necessary for a company to be able to manage and make full use of the tools offered by new technologies. In this context, we, through AFDEmp, train young professionals by encouraging them to broaden their professional horizons. I am sincerely proud of what we have done together so far. I think that, we, as a private initiative, are laying another brick to shape the next day in the country by tackling the phenomenon of unemployment “.

    HePIS President Mr. Nikos Faldamis said that through AFDEmp an institution has been created that overturns the existing path and turns digital skills into a major opportunity for growth and employment of the new workforce”. Mr. George Doukidis, Professor at the Athens University of Economics and Business, pointed out that such initiatives contribute to: (a) encouraging young people to dare change their professional field by moving to modern fields such as Information Technology and Programming; and (b) encouraging companies to invest in the new generation by employing people who have acquired the appropriate knowledge.

     

    The Event And The Awards

    The Alliance for Digital Employability (AFDEmp) event was attended by more than 150 representatives of the most important companies in Greece and of the most promising in the fields of Information Technology and Technology. AFDEmp honored the collaborating companies, as a practical acknowledgment of their contribution to this effort, while the event was honored by their presence: the President of GRNET (National Network of Research and Technology) and Professor of the National Technical University of Athens Mr. Panagiotis Tsanakas, the President of the Hellenic Company Logistics Mr. Nikos Rodopoulos, the President of GRECA Mrs. Katerina Fredaki, the General Manager  of HAMAC Mr. Yannis Giannarakis,  the General Secretary of CIO Forum Mr. Michalis Moraitis, and others.

    The Entrepreneurship Program And Experiencing Vocational Guidance

    The Entrepreneurship Program of Mandoulides Schools  is part of the experiencing school vocational guidance, which is cultivated in the Schools through a series of actions (Three-day School Vocational Guidance, educational visits and projects under the STEAMulator program, 100 Mentors) aiming at better information, but also the acquisition of experiencing knowledge.

    The duration of the programs is four weeks divided into two phases. In the first phase, students are introduced to the basic principles of operation of a company. In the second phase of the Programs they acquire experience in its premises, with daily presence, participation in meetings, dialogue with executives and familiarity with the subject.

    Participation in SAMARAS & PARTNERS’ Workshop for GDPR

    [vc_row][vc_column][vc_column_text] KOUMENTAKIS & ASSOCIATES Law Firm was invited and participated in the workshop for GDPR organized by SAMARAS & PARTNERS, in which Mr. Constantinos Kornilakis, Partner of KOUMENTAKIS & ASSOCIATES, made a presentation entitled “Introduction to the institutional framework for the protection of personal data: Rights and Obligations”.

    The workshop, which has been a great success, was held at the Thessaloniki International Fair (TIF) with the support of the Exporters’ Association of Northern Greece and had the topic “The New European Regulation for the Protection of Personal Data (GDPR) and Useful Tools for Cyber Risk Insurance”.

    hmerida-samaras-for-gdpr-speakers-panelThe purpose of the workshop for GDPR was to inform companies on the requirements of Regulation 2016/679 (GDPR) and on the basic guidelines and actions that each company should take to comply with the Regulation. In addition, useful tools for cyber risk insurance were presented by AIG GREECE.

    Mr. Grigoris Tassios, President of the Panhellenic Federation of Hoteliers, and Mr. Kyriakos Loufakis, President of the Exporters’ Association of Northern Greece, welcomed the participants and contributed to raising awareness and concerns of the stakeholders and in this context, of the entrepreneurs, scientists and representatives of the organizations that attended the workshop. The event was dynamic, and the participants contributed in a constructive manner to the exchange of views and the promotion of fruitful dialogue.

    Workshop On The Implementation Of GDPR In Tourism

    [vc_row][vc_column][vc_column_text] Koumentakis & Associates Law Firm participated in the workshop organized by the Hoteliers Association of Rethymnon, entitled: “The application of the General Data Protection Regulation (GDPR) with emphasis on the tourism sector”.

     

    GDPR in Tourism

    The workshop aimed at the complete presentation of the Regulation on topics such as:

    • The new General Data Protection Regulation: Organization and preparation for full compliance with the new regulatory framework,
    • The Practical Implementation of the Regulation in the Tourism Sector,
    • Tools & solutions for the Security of Information Systems in compliance with GDPR,
    • The critical role of Data Protection Officer (DPO) Education and Certification (ISO 27001, ISMS)

     

    The Attorney-At-Law Konstantinos Kornilakis, Partner of Koumentakis & Associates who represented the firm, referred to the issue of personal data, the obligations and rights of employees and associates and the capabilities of companies to ensure Confidentiality (e-mail monitoring, retrieval of deleted correspondence, recording of data from the computers of the company, etc.). He also referred to the benefits of confidentiality, which are obvious to companies, their clients, their employees and their families, and to the entire industry in general.

    GDPR – General Data Protection Regulation

    The new “General Data Protection Regulation” (GDPR) for the processing and management of personal data in the Member States of the European Union is entered into MANDATORY force on 25 May 2018. The parties are now obliged to manage the information in accordance with the provisions of the Regulation, to take all necessary measures to maximize the security of data management and to be able to demonstrate that they have taken these measures with a credible level of internal preparation. The Regulation provides for specific management procedures and demands compliance by the parties, under severe sanctions.
